1. Parties and licence
RTL Clubs Ltd, at 20-22 Wenlock Road, N1 7GU, contracts with the legal operator identified in the organisation account and accepted order (Operator). The person accepting confirms authority to act for that Operator. A sole trader uses their own legal name and any trading name. Schools use the same terms through their correct legal organisation.
RTL Clubs Ltd supplies software, content and books. RTL Education Ltd owns the RTL books and licenses them to RTL Clubs Ltd. RTL grants the Operator a non-exclusive, non-transferable licence to use its subscribed software, content and books for its own teaching business while the relevant fees are paid and the licence has not been suspended or terminated under these terms. No learner-number allowance is specified in this agreement. Separate learner identities and authorised access remain required.
This is a software and content licence. RTL does not grant a franchise, operate the Operator's tuition business or appoint it to bind RTL. The Operator sets its own tuition services, fees and business arrangements. RTL does not recruit or vet tutors, carry out criminal-record checks, supervise sessions or manage local safeguarding.
2. Subscription and locations
The accepted order identifies the Operator, subscribed programmes and services, fee including applicable taxes, payment route, start date and selected billing period. Billing may be monthly, quarterly or annually. The subscription renews for the same selected period unless renewal is cancelled before the next payment under the relevant purchase route or the licence ends under these terms. Cancelling renewal normally leaves the licence available until the paid period ends. Paying fees does not override a conduct restriction or termination.
The price and payment period are shown before purchase; they need not be repeated in a separate signed commercial schedule. No undisclosed charge is payable. A proposed price change applies prospectively after notice, with consent where required and an opportunity to cancel renewal before it takes effect.
One licence may cover multiple locations. Register every location in the app before use and keep its details current. Registration is not a safety inspection or premises certification. No additional-location charge is imposed by these terms. Schools do not require a separate agreement or mandatory school schedule.
3. Your tuition business
Identify the actual tuition supplier to parents before enrolment, including its legal name and contact details. Explain any separate venue host or payment collector acting on that supplier's behalf. Contract for tuition in the supplier's own name. Maintain appropriate session, complaint, emergency and staffing arrangements under the law where you operate.
You select, engage and supervise tutors and complete legally required checks through lawful routes. Prevent ineligible or barred people from undertaking relevant work. Keep proportionate local records and notify RTL of material concerns affecting the licence. RTL may request relevant, proportionate evidence of licence compliance, but does not routinely collect criminal-record certificates or certify suitability.
Club-funded access is the normal club route: the club buys RTL access and the parent pays the club for tuition. Parents may instead choose to buy their child's programme access directly from RTL while using a club, or buy Home Learning access for use at home. Tuition remains a separate purchase from the named teaching provider. We identify the payer and access being purchased before any charge and do not require duplicate payment for the same coverage. An optional direct purchase does not remove the club's own professional licence requirement.
4. Professional access and materials
Each tutor must accept L04 and use their own credentials. Only authorised staff may access assigned learners' records for their work. An Operator who teaches also accepts L04 personally. Remove assignment access when it is no longer needed and report matters requiring network-wide action.
Use and print entitled content and books for your authorised teaching. Do not sell copies as standalone products, sublicense them, upload them publicly, bypass access controls or share credentials. Do not upload protected materials to external AI services without permission, subject to statutory rights. Use permitted RTL branding only to identify your independent use of RTL programmes. Do not register RTL-branded domains or social accounts without permission, or claim RTL runs, vets or accredits your business.
RTL and its licensors retain their rights. This agreement does not assign children's work, independent tutor work or personal data to RTL. Completed learner work and reports may be retained lawfully after exit. Future commercial use of licensed materials ends with the licence.
5. Incorporated documents and information
G01-G08, L10 for subscription mechanics and the completed applicable L09 data schedules form part of this agreement at the versions supplied on acceptance. Mandatory law prevails. An applicable data schedule prevails for data-processing obligations. Otherwise the accepted order's specific commercial particulars take priority, followed by L02, L10 and governance. The order cannot silently remove the core licence restrictions or change household sibling rules into club pricing.
Keep confidential information secure and use it only for authorised purposes. No confidentiality or branding condition prevents good-faith complaints, lawful criticism, protected disclosures or reporting to authorities.
6. Ending the licence
You may cancel renewal through your payment provider's cancellation route or ask RTL Help for assistance. The licence ends when the paid period expires without renewal, or earlier under G07. A failure to pay is handled as a payment issue and is not described as misconduct.
RTL may suspend or terminate for material misuse, copyright or other IP infringement, unauthorised access or disclosure, misleading use of the RTL name, serious misconduct or conduct creating a material and reasonably evidenced risk to RTL's reputation. G07 governs evidence, proportionality, notice, remedy where appropriate and review. A remediable breach normally receives a reasonable opportunity to be corrected; serious infringement or an urgent continuing risk may justify immediate action. Paying again does not restore a terminated or restricted licence.
RTL controls its own software, content and branding permissions. It does not purport to close your independent tuition business. On exit stop new licensed use and branding, remove professional access and follow G08 for lawful handover. L10 addresses affected RTL prepayments; the tuition supplier addresses its own tuition payments. Unaffected parent subscriptions do not automatically end.
7. Continuing terms and disputes
Ending or not renewing the subscription does not end accrued payment obligations, confidentiality, IP protection, restrictions on future use, lawful records duties, review rights or provisions needed to give termination effect. Those provisions survive for as long as their purpose requires, subject to law.
Nothing in these terms excludes or limits any right, remedy or responsibility that cannot lawfully be excluded or limited. RTL offers no discretionary compensation or goodwill payments. These terms specify no insurance requirement, negotiated liability cap or indemnity.
Raise concerns through G06. English and Welsh law governs this agreement, with the courts of England and Wales for business disputes, subject to mandatory applicable local law. A change of legal contracting party needs a legally effective transfer; it is not achieved by editing a name. Notices use the account contact or RTL Help and the postal address above. An unenforceable provision does not invalidate the rest.
